Bektav — Terms of Service
Bektav and tScribe are two names of the same Service, provided by the same company from the same systems: an account made under either name is one account, kept in one database and managed by the same administrators; this document applies to both.
Last updated: 2 November 2026
These Terms of Service (the "Terms") are an agreement between NEXUS IT SOLUTIONS, of Hillel Yaffe 44, Hadera, Israel ("we", "us") and the organization that registers for or orders Bektav (the "Customer", "you"). The person who accepts these Terms on the Customer's behalf confirms that they are authorized to bind it.
Bektav is a service for businesses and professionals. It is not offered to consumers for personal or household use.
1. Definitions
- Service — the Bektav cloud service at bektav.com and its sub-domains (and any other address we name), with its apps, features and documentation.
- Content — everything the Customer or its Users upload to, record in or create in the Service: recordings and videos, chats and messages, pictures, transcripts, translations, names, voice prints, details of people, tags, comments and exports.
- User — a person the Customer's administrator lets into the Customer's organization in the Service.
- Order — a quote, order form, proposal or online plan selection accepted by both parties that states the plan, the fees and the term. Where an Order conflicts with these Terms, the Order prevails for that subscription.
- DPA — our Data Processing Agreement, which forms part of these Terms.
2. The Service
2.1. Bektav transcribes recordings and voice messages, separates and identifies speakers, reads text in pictures, puts chats into one timeline, translates, and exports the results (including documents prepared for use in court).
2.2. We may improve, change or retire features. We will not materially reduce the core functionality of a paid subscription during its paid term without notice and, where the change is to your detriment, a pro-rata refund if you choose to end the subscription.
2.3. Free plan. A new organization starts on the free plan, with the features and monthly limits shown in the Service. The free plan is provided "as is", without any commitment of availability or support, and its features and limits may be changed or the plan ended at any time.
3. Accounts and security
3.1. The Customer's administrators add and remove Users, assign their roles and are responsible for what Users do in the Service.
3.2. Users must keep their passwords and sign-in codes secret and must not share accounts. The Customer must tell us at once at [email protected] of any unauthorized access it suspects.
3.3. The Customer is responsible for its own settings, including whether two-step sign-in is required, password expiry, project membership and whether the organization's library of people (voice prints) is used.
3.4. One account. Each person and each organization may hold only one account (one organization in the Service), on any plan. Creating or using more than one account - in particular to get more of the free plan's limits, or to avoid a plan's limits or fees - is not allowed. A person may still be a User in other Customers' organizations that invite them. We may merge, suspend or close duplicate accounts under section 10, after telling the administrator.
4. Customer Content
4.1. Ownership. As between the parties, the Customer owns its Content. We claim no rights in it.
4.2. Licence to us. The Customer grants us a limited licence to host, copy, process, transmit and display the Content only as needed to provide, secure and support the Service, to prevent abuse and to comply with law, all as described in the DPA.
4.3. No training, no sale. We do not sell Content, use it for advertising or use it to train or improve machine learning models.
4.4. Support access. Our staff access a Customer's organization only to provide support or where the law requires. Each support visit is recorded and shown to the Customer's administrators.
5. Customer responsibilities
5.1. The Customer is solely responsible for the Content and for having every right, consent and legal basis needed to record, upload and process it, including:
- (a) the recording of conversations and the obtaining of messages and pictures in accordance with applicable law, including the Israeli Eavesdropping Law, 5739-1979, and the Protection of Privacy Law, 5741-1981;
- (b) informing the people whose voices, messages, images or details are in the Content, and obtaining their consent where required — in particular before creating or keeping voice prints, which may be biometric information;
- (c) any duties of professional secrecy, privilege or court orders that apply to the Content.
5.2. The Customer and its Users must not:
- (a) upload unlawful Content, or Content obtained by unlawful interception, surveillance or intrusion;
- (b) use the Service to identify, track or profile people unlawfully;
- (c) attempt to access other organizations' data, probe or bypass the Service's security or limits, or overload it;
- (d) reverse engineer the Service, except as allowed by law;
- (e) resell or provide the Service to third parties, except as allowed in an Order.
6. Results and accuracy
6.1. Transcription, speaker separation and identification, reading of pictures and translation are produced automatically by machine learning models and can be wrong: words may be missed or misheard, speakers mixed up, names misread and meaning lost in translation. The Service marks some uncertain places, but not all errors are marked.
6.2. A qualified person must check every result before it is relied on, and in particular before it is filed with a court, given to an authority or used as evidence. Documents the Service prepares for court (such as a transcript or a translator's declaration) are drafts for the signatory to verify and adopt; the signatory, not us, is responsible for their content.
6.3. Sealing a project records a fingerprint of its content so that later changes can be detected. It shows that the project has not changed in the Service since it was sealed; it does not certify that the content is accurate, complete or authentic.
6.4. The Service does not provide legal, translation-expert or other professional advice.
7. Third-party services chosen by the Customer
Some features use a service of a third party only if a User enables them, for example translation with Claude (Anthropic) using the User's own API key. When a User enables such a feature, the relevant text is sent to that third party under the User's or Customer's own agreement with it, and that third party's terms govern its processing. We are not responsible for third-party services.
8. Fees and payment
8.1. Paid plans, fees and the billing period (monthly, or yearly paid in advance) are stated in the Service or in the Order. Unless the Order says otherwise, fees are stated in US dollars, are billed in advance and are due within 14 days of the invoice or receipt. Payments may be processed by a reseller acting as the merchant of record; its terms of sale and invoices then apply to the payment.
8.2. Fees exclude VAT and other taxes, which are added where applicable.
8.3. Usage limits. Each plan includes the usage limits shown in the Service (for paid plans, fair-use limits on recognition time, storage and users) and a number of projects (archived projects count). Usage above them needs an add-on pack or a higher plan; until then, new work over a limit waits and nothing already stored is deleted. An organization with more projects than its plan allows (for example after moving to a smaller plan) can read and export its projects but not change them until enough projects are deleted or the plan is upgraded. Some plans are priced per User, by the number of Users in the organization.
8.4. If fees are overdue by more than 14 days after a reminder, we may suspend the Service under section 10.
8.5. We may change prices for a following subscription period by giving at least 30 days' notice before it begins.
8.6. Refunds. A charge for a plan or an add-on pack bought online may be refunded in full if asked for within 14 days of it, as our Refund and Cancellation Policy describes. After that, fees paid are non-refundable, except as these Terms or the law provide.
9. Availability and support
9.1. We work to keep the Service available and to restore it promptly after failures, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates and failures of our providers may interrupt the Service. Any service level commitment applies only if it is stated in an Order.
9.2. The Service keeps backups to recover from failures; these are not a substitute for the Customer's own copies. A project the Customer's administrator archives leaves the organization's lists and is deleted after 30 days (or the period shown in the Service) unless it is brought back before then. The Customer should export or back up projects that matter to it (the Service provides project export and encrypted backup).
9.3. Support is given by e-mail at [email protected] on Israeli business days.
10. Suspension
We may suspend access, in whole or in part, if: (a) fees are overdue as described in section 8.4; (b) the Customer or a User materially breaches section 5, or holds duplicate accounts in breach of section 3.4; or (c) suspension is needed to prevent harm to the Service, other customers or third parties, or is required by law. We will tell the Customer's administrator in advance where reasonably possible and will restore access once the reason is resolved. Suspension does not by itself delete Content.
11. Term and termination
11.1. These Terms apply from acceptance until the Customer's account is closed. A paid subscription runs for the term in the Order and renews for the same period unless either party gives notice 30 days before the end of the term. A subscription bought online renews each billing period until the Customer's administrator cancels it, which may be done at any time; it then ends at the end of the period already paid for (Refund and Cancellation Policy).
11.2. Either party may terminate for a material breach not cured within 30 days of written notice.
11.3. The Customer's administrator may close the account at any time. Fees for the current paid term are not refunded, except under sections 2.2 and 8.6.
11.4. Content after termination. The Customer should export its Content before closing its account. When the account is closed or a paid subscription ends, the Customer chooses what happens to its Content: (a) deletion — its Content is deleted at once, and from our automatic backups within 3 days; or (b) archive — at the Customer's request, or as agreed in an Order, the organization is archived instead: no one can sign in to it or use its Content, which is kept unchanged for the retention period the Customer asks for (7 years unless agreed otherwise, at most 30 years) and restored to use if the Customer asks within that period. At the end of the retention period the Content is deleted automatically, and from our automatic backups within 3 days; the Customer may also ask for it to be deleted earlier. If the Customer makes no choice, when we end or do not renew a paid subscription the Customer will have 30 days to export its Content or ask for the archive, after which it is deleted as in (a).
11.5. Sections 4.1, 5, 6, 8 (for fees owed), 11.4, 12–16 survive termination.
12. Confidentiality
Each party will keep confidential the non-public information the other discloses in connection with the Service (including Content, which is always the Customer's confidential information), use it only for this agreement and disclose it only to those who need it and are bound by similar duties, or where required by law (with prior notice where lawful).
13. Intellectual property
The Service, its software, models, design and documentation are owned by us or our licensors. Except for the right to use the Service under these Terms, no rights are granted. The Service includes open-source components licensed under their own terms. If the Customer sends us feedback, we may use it without obligation.
14. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.
15. Limitation of liability
15.1. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL OR DATA, OR FOR THE OUTCOME OF ANY LEGAL PROCEEDING, EVEN IF ADVISED OF THEIR POSSIBILITY.
15.2. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE AND THESE TERMS WILL NOT EXCEED THE FEES THE CUSTOMER PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR ₪500 FOR A CUSTOMER THAT HAS PAID NOTHING.
15.3. These limits do not apply to the Customer's payment obligations, to the Customer's liability under section 16, or to liability that cannot be limited by law (such as for fraud or wilful misconduct).
16. Indemnity
The Customer will defend and indemnify us against claims by third parties (including people recorded or named in the Content, and authorities) arising from the Content or from the Customer's or its Users' breach of section 5, and will pay the resulting damages and reasonable legal costs, provided we notify the Customer promptly and let it control the defence.
17. Changes to these Terms
We may change these Terms. We will publish the new version on the site and notify the Customer's administrators at least 30 days before a material change takes effect. Changes do not apply to a paid term already running if an Order says so. Continued use after the effective date means acceptance; a Customer that does not accept may close its account.
18. General
18.1. Law and courts. These Terms are governed by the laws of the State of Israel. The competent courts of Tel Aviv – Jaffa have exclusive jurisdiction.
18.2. Language. These Terms are written in English. Any translation is for convenience only; the English version prevails.
18.3. Notices. We send notices to the e-mail of the Customer's main administrator and through the Service. The Customer sends notices to [email protected].
18.4. Assignment. Neither party may assign these Terms without the other's consent, except that we may assign them to a successor of our business (including a company we form to run the Service), with notice to the Customer.
18.5. Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including war, hostilities, emergency regulations, failures of networks or cloud providers.
18.6. Entire agreement. These Terms, the DPA, the Privacy Policy and any Order are the entire agreement on their subject. If a provision is unenforceable, the rest remains in force. A failure to enforce a right is not a waiver.
